Two phones can share apps and still have two different phone numbers. At one point I gave the old lady my 3gs & I upgraded to a 4. Both phones used one  itunes account, same user name/ password. if I'm not mistake you can have up to 3 or maybe 4 devices on the same itunes account. When you set up the iphone 5 just use your existing apple id.
You will have to pay for two data plans ect from whoever your carrier is.

If I'm not mistaken you can have up to ten devices.
But yea I cloud is probably the easiest thing to do.

Moving the sim Card is the same as moving the phone number. I'm not sure if it will work with different carriers though.

It would need to be unlocked, which I doubt since his company is probably getting it subsidized. I misunderstood what you wanted to do. When you sync your phone, via iCloud or iTunes, you are basically storing your contacts/music/apps/whatever in a computer. When you configure your new phone, it will ask you for your iTunes ID. If you synced with iCloud, then it should automatically download all your data. If you sync with iTunes on your computer, then you just need to connect the new phone and select to restore it. It's actually pretty easy to do.

The forwarding of the calls is actually done through your provider, in your case AT&T. It's a feature that comes with just about any plan. Call Forward FAQ for AT&T:
